As an attorney with a background in finance and business, I offer four levels of legal services: Partnership Level, Limited Corporate Support, Litigation Management & Strategy, and Outside General Counsel (sometimes called Fractional Support).
Each level delivers a different set of skills, which allows me to support you in different ways depending on your goals. Below are each of the categories and a list of services that could fall under each category. If you need something different, let me know.

Partnership Level
- General day-to-day legal advice and counseling on general and industry-specific legal issues, with particular expertise in partnership disputes
- Attend shareholder, board and management meetings
- Commercial contracts management (implement standard commercial agreements/programs for customers, strategic partners and vendors and establish standard contracting processes and controls)
Limited Corporate Support
- Participate in and support strategic planning as requested
- Assist with financing strategies and negotiation of term sheets
- Corporate governance and secretarial services for parent and all subsidiaries (i.e., maintain minute books and other corporate records, annual reports, etc.)
- For special situations, act as a Registered Agent with the Secretary of State
Litigation Management & Strategy
- Risk and litigation management, including recommendation and engagement of outside counsel and managing ongoing litigation files
- General employment matters, such as advice on hiring and termination decisions, review and establish employment policies, standard employment contracts, confidentiality and non-compete agreements, Executive and employee compensation, benefit and incentive plans
- Design, set up and administration of option grants and other equity incentive plans
- General advice and counseling on intellectual property and proprietary rights issues
- Management of legal subject matter experts and outside consultants to ensure timely and accurate advice and manage cost
Outside General Counsel
- All services in Partnership, Corporate Support, and Litigation Management & Strategy, PLUS all legal/related actions under my budget and execution authority, serving as a Member of Executive Management Team
